Terms of Service

1. Introduction
1.1. These Terms of Service ("Terms") govern the use of the online platform, associated website, and the official IDE plugin (collectively, the "Service") operated by Radeal sp. z o.o., a company incorporated in Poland, with its registered office in Michałowice ("Radeal", "we", "us", or "our").
1.2. The Service provides tools for tracking and aggregating working time on software development projects within supported Integrated Development Environments (IDEs), including IntelliJ IDEA and PHPStorm. Use of the Service requires installation of the official Radeal plugin.
1.3. The Service is primarily intended for professional use. However, natural persons acting as Consumers under applicable law may also use the Service, in which case the mandatory consumer protection rules apply.
1.4. By creating an account or using the Service, the User confirms that they:

have read and agree to be bound by these Terms, and

have the authority to enter into legally binding obligations.
1.5. The Privacy Policy, available on our website, forms an integral part of these Terms.
2. Account Registration
2.1. To access the Service, the user ("User") must create an account and provide accurate and up-to-date information, including full name and a valid email address.
2.2. The User is responsible for safeguarding login credentials and for all actions performed under their account. Any suspected unauthorized access must be reported to Radeal immediately.
2.3. Radeal may refuse registration, suspend, or terminate an account if suspicious, fraudulent, or harmful activity is detected.
3. Trial Access and Subscription
3.1. Upon registration, the User receives a 30-day free trial with full access to the Service.
3.2. After the trial, continued use requires purchasing an annual subscription (“Subscription”).
3.3. Subscriptions are sold and billed exclusively through Paddle, acting as the Merchant of Record. Paddle handles:

payment processing,
-
invoicing,
-
tax calculation (including VAT),
-
refunds where applicable.
3.4. Subscription fees must be paid upfront for the full 12-month period.
Subscriptions do not renew automatically — continued access requires manual renewal.
3.5. Prices displayed on the Radeal website are provided net of VAT, unless stated otherwise. The final price including applicable taxes is shown during Paddle checkout.
3.6. Changes in pricing do not affect subscriptions already purchased.
4. Data Collected Through the Plugin
4.1. The Radeal plugin communicates with the Service and transmits only the following data:

project name,
-
tracked working time,
-
plugin version,
-
authentication data (Api Key) required for secure communication.
4.2. The plugin does not collect, transmit, analyze, or store:
-
source code,
-
file contents,
-
intellectual property of the User.
4.3. Data transmission between the plugin and the Service is encrypted.
4.4. The proper functioning of the Service depends on correct installation and configuration of the plugin.
5. Supported Software and Technical Requirements
5.1. The current minimum technical requirements necessary to use the Service are published on the Technical Requirements page. Users agree to use the Service in an environment that meets these requirements
5.2. New IDE releases may require plugin updates. Radeal does not guarantee immediate compatibility with future IDE versions.
5.3. The Service requires:
-
a stable internet connection,
-
a supported operating system,
-
a compatible IDE version as listed above.
5.4. In accordance with applicable EU law on digital content, Radeal provides updates, including security updates, necessary to maintain Service conformity for the duration of the Subscription.
6. API Usage and Limitations
6.1. The maximum allowed communication rate is 5 API requests per minute.
6.2. Excessive or abusive requests may be rate-limited or temporarily blocked.
6.3. Radeal is not liable for delays, missing data, or disruptions caused by exceeding API limits.
7. License to Use the Plugin and the Service
7.1. Radeal grants the User a limited, revocable, non-exclusive, non-transferable license to install and use the plugin solely to access the Service during an active Subscription.
7.2. The User may not:
-
copy, modify, distribute, or sublicense the plugin,
-
reverse engineer, decompile, or attempt to extract the source code,
-
bypass security mechanisms or rate limits,
-
use the Service in a manner harmful to system integrity.
7.3. All intellectual property rights remain the exclusive property of Radeal.
8. Service Availability and Maintenance
8.1. Radeal may perform maintenance, updates, or improvements which may temporarily reduce availability.
8.2. Although Radeal aims to minimize disruptions, uninterrupted operation is not guaranteed.
8.3. Outages may occur due to third-party hosting providers, network failures, IDE updates, or other factors beyond Radeal’s control.
9. Fees, Refunds, and Right of Withdrawal
9.1. Merchant of Record (Paddle)
9.1.1. All payments, refunds, invoicing, and tax calculations are handled exclusively by Paddle acting as the Merchant of Record.
9.1.2. Refund requests must be submitted through Paddle in accordance with Paddle’s refund policy.
9.2. Right of Withdrawal (Consumers)
9.2.1. Subscriptions provide immediate access to digital content not supplied on a physical medium.
9.2.2. Consumers acknowledge that by:

purchasing the Subscription, and
-
expressly agreeing to immediate provision of digital content during checkout,
they lose the statutory 14-day right of withdrawal, in accordance with Article 38(13) of the Polish Consumer Rights Act and equivalent EU law.
9.2.3. This does not affect mandatory rights of Consumers relating to:
-
non-conformity of digital services,
-
defects (warranty),
-
lack of conformity under Directive 2019/770.
10. User Data and Rights
10.1. The User retains ownership of all time-tracking data transmitted to the Service.
10.2. The User grants Radeal a limited license to process User Data solely for:
-
operating the Service,
-
improving stability and features,
-
providing customer support.
10.3. Radeal does not use User Data for marketing or resale, except in anonymized or aggregated statistical form.
10.4. Processing of personal data is governed by the Privacy Policy and complies with the GDPR.
11. Prohibited Conduct
The User must not:
-
use automated tools except those officially provided or authorized by Radeal,
-
disrupt networks, servers, or security features,
-
attempt unauthorized access to other accounts,
-
use the Service for unlawful purposes.
12. Termination
12.1. Radeal may suspend or terminate access if:
-
the User breaches these Terms,
-
harmful or illegal activity is detected,
-
system security or integrity is at risk.
12.2. Upon termination, the license to use the plugin and Service expires.
13. Disclaimers
13.1. Some features may be marked “beta”, “experimental”, or “pre-release” and may be incomplete or unstable.
13.2. The Service is provided “as is”, without guarantees of:
-
uninterrupted availability,
-
error-free operation,
-
compatibility with all systems,
-
future availability of specific features.
14. Limitation of Liability
14.1. Business Users: To the maximum extent permitted by law, Radeal’s total liability shall not exceed the Subscription fees paid by the User for the last 12-month period.
14.2. The above limitation does not apply to:
-
Consumers,
-
damages caused by willful misconduct or gross negligence,
-
liability for death or personal injury.
14.3. Radeal is not liable for:
-
loss of profits, revenue, or opportunities,
-
data loss caused by the User’s environment,
-
downtime or third-party outages,
-
incompatibilities caused by IDE updates outside Radeal’s control.
14.4. These exclusions do not affect mandatory rights of Consumers.
15. Export Controls and Compliance
15.1. The Service may not be used in jurisdictions subject to EU, US, or UN sanctions.
15.2. Radeal may suspend access to ensure compliance with applicable export control laws.
16. Changes to the Terms
16.1. Radeal may modify these Terms at any time.
Material changes will be announced at least 14 days before taking effect.
16.2. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16.3. Changes do not affect rights of Consumers under mandatory law.
17. Governing Law and Dispute Resolution
17.1. These Terms are governed by Polish law.
17.2. Business Users: Any disputes shall be resolved exclusively before the competent courts in Poland.
17.3. Consumers: The above choice of jurisdiction does not apply. Consumers may bring claims:

before courts competent under their local law, or
-
via out-of-court mechanisms such as the EU ODR platform.
17.4. Nothing in these Terms limits Consumer rights granted by mandatory law of the Consumer’s country of residence.
